One more purchase by OT Logistics

The company’s management board singed a preliminary contract to buy the controlling interest in C.Hartwig Gdynia S.A.

The contract concerns the purchase of 37.5 per cent shares in C.Hartwig Gdynia owned by Hass Holding Limited, and 37.5 per cent shares held by Morska Agencja Gdynia Sp. z o.o.. The remaining stake belongs to the employees, the Poland’s State Treasury and the Company itself.

All in all, OT Logistics intends to buy 75 per cent shares in that leading freight forwarding company in Poland. C.Hartwig has been operating internationally for over 150 years and it specializes in international sea, land and air freight forwarding and logistics services.  In 2012 the consolidated revenues of C.Hartwig Gdynia exceeded PLN 246 million.  The Contract is yet to be approved by the Polish Office of Competition and Consumer Protection and the Supervisory Board of OT Logistics S.A. The transaction will be finalised from the own funds of OT Logistics.

“I am happy that we have managed to sign the preliminary agreement,” – says Piotr Chajderowski, the management board president of OT Logistics S.A.  “Hartwig has a well-established, strong position in the world market – thanks to the synergy with other companies of the Group, the scope of our business operations will be considerably extended.    I am positive that this acquisition is another step that will strengthen the market position of OT Logistics and will allow us to offer our clients a broader range of world class services.   

The company from Szczecin is following the strategy developed for the nearest years. In July it was granted exclusivity from Zarząd Morskiego Portu Gdynia S.A. to conduct a full due diligence review of Bałtycki Terminal Drobnicowy Gdynia sp. z o.o.    Pursuant to the privatisation schedule, the transaction should be finalised in the first quarter of 2014. The Company obtained the funds for the acquisition of BTDG from its successful IPO in July, when it sold new issue B series shares for PLN 30 million.   After all required permits are secured, the acquisition of C.Hartwig should be finalized later this year.
